This website is operated by SPAFFORD 10 HOLDINGS. Throughout the site, the terms “we”, “us” and “our” refer to SPAFFORD 10 HOLDINGS. SPAFFORD 10 HOLDINGS offers this website, including all information, tools and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.

By visiting our site and/ or purchasing something from us, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/ or contributors of content.

Our store is hosted on WIX. They provide us with the online e-commerce platform that allows us to sell our products and services to you.

Certain products or services may be available exclusively online through the website. These products or services may have limited quantities and are subject to return or exchange only according to our Return Policy.

We have made every effort to display as accurately as possible the colors and images of our products that appear at the store. We cannot guarantee that your computer monitor’s display of any color will be accurate.

We reserve the right, but are not obligated, to limit the sales of our products or Services to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any products or services that we offer. All descriptions of products or product pricing are subject to change at anytime without notice, at the sole discretion of us. We reserve the right to discontinue any product at any time. We do not warrant that the quality of any products, services, information, or other material purchased or obtained by you will meet your expectations, or that any errors in the Service will be corrected.

We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.

You agree to provide current, complete and accurate purchase and account information for all purchases made at our store. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.

In no case shall SPAFFORD 10 HOLDINGS, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.

You agree to indemnify, defend and hold harmless SPAFFORD 10 HOLDINGS and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

SECTION 15 – SEVERABILITY

In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

SECTION 16 – TERMINATION

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.

These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our site.

If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).

SECTION 17 – ENTIRE AGREEMENT

The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

These Terms of Service and any policies or operating rules posted by us on this site or in respect to The Service constitutes the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).

Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of 683 N 950 W ST GEORGE UT 84770, United States.

Purchase and refund policy

 

1.1   Due to your purchase being a coaching package, we do not offer refunds or cancellations. All contracts and purchases are binding.

1.2   Due to your purchase being an info product and downloadable at the time of purchase, we do not offer refunds or cancellations. All purchases are binding.

1.3 Refund Policy for Individual Coaching: In order to request a refund, you must have completed all of the modules and worksheets for the program, and have asked for and received coaching at least ten (10) times from Spafford or one of Spafford’s mentors.  Spafford may require that you submit documentation, including without limitation your self-coaching for each of the modules, all the completed worksheets from the program, and the coaching you received by email to [email protected].

1.4 Should a refund be in order, for the purposes of evaluating refund amounts, access to any digital material is valued at two-thirds of the total value of any coaching package purchased.  e.g. a coaching package purchased for $3000 USD would value all digital material at $2000 USD.

1.5 Refund Policy for The Self Mastery Membership: You may cancel your membership at any time.  Annual purchases will remain active for one full calendar year from purchase.  Monthly purchases will remain active for the full month after the last payment is received.  We do not offer refunds or cancellations. 

 

APPLICATION OF TERMS AND CONDITIONS

 

2.1.   These terms and conditions (“Terms”) apply to education, consulting, and coaching services (the “Program”) by Zach Spafford Coaching (“Company”) operated by Zach Spafford (“Coach”) from  683 N 950 W St George UT 84770  By registering to be a participant in our Program, you agree to the following Terms and that these prevail over any inconsistent terms or conditions contained, or referred to, elsewhere or as implied by law, trade custom, practice or course of dealing.

2.2.   The agreement between us and you, the person or entity registering to be a participant in the Program (“You”) and which is subject to these Terms (“Contract”), shall come into effect upon us emailing you to confirm our acceptance of your registration form for the Program and shall continue until terminated in accordance with these Terms.

2.3.   If you are purchasing online, the order process will be as follows:

2.3.1. add the Program to the cart and proceed to the checkout and make payment as directed;

2.3.2. if you are paying by PayPal, you will be re-directed to the PayPal website for you to make payment and then once payment is made, you will be re-directed back to our site;

2.3.3. we will send you an email acknowledging your order and confirming whether we have accepted your order.

2.3.4. If at any stage you have made an error in your order, you may email us at [email protected] to correct any errors.

2.4.   If you are purchasing online, you should print a copy of these Terms for your records as we will not be filing a copy and we may change these Terms from time to time.

2.5.   These Terms should be read in conjunction with our Privacy Policy (which can be found on our website zachspafford.com (“Site”)).

2.6.   Any content posted or submitted by you to our site in the course of the Program is subject at all times to the Acceptable Use Policy.

2.7.   Where you are a corporate entity, “you” as used in these Terms shall be deemed to include your officers and employees and you shall procure that such officers and employees fully comply with these Terms.

 

PROGRAM

 

3.1.   The Program will be provided over the course specified on the sales page and may be delivered by a combination of telephone sessions, one on one in-person sessions (“In-Person Session”), or as a downloadable product as detailed on the site.

3.2.   The date and time of all telephone sessions and In-Person Sessions are agreed upon by you and your coach and are subject to change. We will provide you with as much notice of any change as is possible but we shall not be liable to you in any way for any change to such dates or times.

In-Person Sessions 

3.3.   If you need to cancel an In-Person Session, you should provide us with as much notice as possible (by emailing [email protected]) and we will endeavor to reschedule the session to a mutually convenient date and time. If you provide us with less than 24 hours’ notice or fail to provide us with any notice we may not be able to reschedule the session and shall not be obliged to refund you any amounts paid in relation to such session.

3.4.   If you arrive late for an In-Person Session, we will try to extend the end time but if this is not possible, the session will end at the scheduled time and we will not be obliged to refund you any amounts paid in relation to such session.

3.5.   The In-Person Sessions may be held in third-party venues such as hotel meeting rooms and you agree to comply at all times with such venue’s policies and rules in relation to such venue (particularly fire safety and health and safety rules). We will require you to leave if you do not comply with such policies and rules (and shall not be obliged to refund you any amounts paid in relation to such session).

3.6.   You are responsible for your own belongings that you take to an In-Person Session and neither we nor the venue will be liable for any loss, damage, theft, or destruction of any of your belongings.

3.7.   You agree to indemnify us against any claim from any third party (and associated costs and expenses (including professional fees)) arising out of your actions or inactions while at a venue as part of the Program.

 

Telephone Sessions 

3.8.   All telephone sessions shall start and end at the scheduled times regardless of the time that you join the call. If you are late for an individual telephone call, this may be extended at our discretion but if we need to end at the scheduled time, we shall not be obliged to refund you any amounts in relation to such session.

GOODS

4.1.   Where we are providing goods or products (such as CDs, DVDs, or binders) (“Products”) as part of the Program or otherwise, the following terms and conditions of this paragraph 4 shall apply.

4.2.   Any photographs of the Products on our site are for illustration purposes only.

4.3.   The delivery charges for the Products are as set out on our site from time to time.

4.4.   Your order will be fulfilled by the estimated delivery date set out in our confirmation email or as described on our site unless there is an event outside of our control. If we are unable to meet the estimated delivery date because of an event outside our control, we will endeavor to contact you with a revised estimated delivery date.

4.5.   Delivery will be completed when we deliver the Products to the address you gave us when you placed the order and the Products will be your responsibility from the completion of delivery.

4.6.   If no one is available at your address to take delivery, we will leave you a note that the Products have been returned to our premises, in which case, please contact us to rearrange delivery. Return delivery will be at your expense.

4.7.   You own the Products once we have received payment in full, including all applicable delivery charges.

 

PAYMENT

 

5.1.   The total price payable for the Program is as set out in the summary of key terms above.

5.2.   You may choose to pay by installments or in one lump sum and the total price payable shall depend upon which option you have chosen and shall be as set out in the summary of key terms.

5.3.   If you choose to pay in installments a deposit of the amount set out in the summary of key terms is payable on registration for the Program. You will then be invoiced for further installments (as specified on our website) for the amount set out in the summary of key terms every 30 days until the total price payable has been paid. Such invoices must be paid within 7 days of the date of the invoice.

5.4.   Payment is to be made by any method that is detailed on our site from time to time.

5.5.   Without prejudice to any other right or remedy that we may have, if any sum payable under these terms is not paid within 7 days of the date due we reserve the right to (i) charge a 5% late penalty to all balances that are not paid in a timely manner and/or (ii) suspend the availability of the Program until such time as payment is made or the Contract is terminated.

5.6.   The total price payable as set out in the summary of key terms is exclusive of Goods & Services Tax (“GST”) and any other applicable taxes or duties which shall be added at the applicable rate where necessary.

5.7.   You shall be responsible for all travel, accommodation, and other subsistence costs and all other expenses incurred by you in connection with your participation in the Program.

5.8.   All payments are non-refundable other than as applicable by law.
